1 Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of NailEOD, the end-of-day software for nail salons provided at app.naileod.com and marketed at naileod.com (together, the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service. Our Privacy Policy is part of this agreement.

2 Who can use NailEOD

You must be at least the age of majority in your jurisdiction to subscribe. If you set up NailEOD for a salon, you represent that you're authorized to enter into these Terms on that business's behalf, and “you” then means both you and the business.

3 What NailEOD is

NailEOD is a tool for recording a salon's daily services, tips, clock-in times, and cash reconciliation, and for producing the resulting tallies and reports. It is a record-keeping and reconciliation aid — not a payment processor, a point-of-sale terminal, a bookkeeping or accounting service, a payroll provider, or a source of tax, legal, or financial advice. You're responsible for how you use the figures it produces.

4 Accounts & PINs

• Access is secured with PINs — an administrator PIN for the owner and personal PINs for staff. You're responsible for keeping PINs confidential and for all activity under your account.
• The salon owner is responsible for the staff accounts they create and for the accuracy of the information they enter.
• Notify us promptly at [email protected] if you believe an account or PIN has been compromised.

5 Free trial

New salons can try NailEOD free for three weeks, with no credit card required to start. During the trial you have access to the Service as described for your plan. When the trial ends, you'll need to choose a paid plan to keep using the Service. Your data isn't deleted when a trial ends — it stays as you left it so you can subscribe later and continue where you stopped.

6 Plans, billing & renewals

• Plans. NailEOD offers Starter, Pro, and Elite plans (billed monthly or annually) and an Enterprise plan for multi-location owners. Current prices and what each plan includes are shown on our pricing page. Pricing is one flat subscription fee — there are no per-transaction or per-client fees.
• Payment. Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method for the plan you select.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annually) at the then-current rate, until you cancel.
• Changing plans. Upgrades take effect immediately and are prorated, so you only pay the difference for the rest of the period. Downgrades take effect at your next renewal, so you're never charged twice for the same month.
• Taxes and fees. Prices are exclusive of any applicable taxes, which you're responsible for. A one-time setup fee may apply where stated, subject to any promotion in effect.
• Price changes. We may change subscription prices; we'll give reasonable advance notice, and changes take effect at your next renewal.

7 Cancellation & refunds

You can cancel any time from your billing settings or by contacting us. When you cancel, your subscription stays active through the end of the period you've already paid for, and it won't renew after that. Except where required by law, payments are non-refundable and we don't provide partial refunds for unused time. After cancellation your data remains available to you, and you can request an export at any time.

8 Your data & responsibilities

The information you and your staff enter into NailEOD (“Your Data”) belongs to you. You grant us the limited rights needed to host, process, and display it so we can provide the Service, as described in our Privacy Policy. You are responsible for:

• Having the right to provide the personal information of your staff to the Service, and for informing them and obtaining any consent your local laws require — including for location-checked clock-in.
• The accuracy of the figures you enter and any business, payroll, or tax decisions you make from NailEOD's output.
• Using the Service in compliance with the employment, privacy, and wage laws that apply to your salon.

9 Acceptable use

You agree not to:

• Use the Service for anything unlawful, or to violate anyone's rights.
• Attempt to access another salon's data or any account that isn't yours.
• Probe, scan, or breach the security of the Service, or interfere with its normal operation.
• Reverse-engineer, copy, resell, sublicense, or white-label the Service without our written permission.
• Upload malware or use the Service to send spam or abusive content.

10 Availability & accuracy

We work hard to keep NailEOD fast and available, and the app is built to tolerate brief connection drops and sync back up when you reconnect. Even so, we don't guarantee the Service will be uninterrupted or error-free, and we may perform maintenance or update features over time. NailEOD helps you catch mismatches, but the numbers it shows depend on what's entered — you are responsible for reviewing and verifying your own totals before relying on them.

11 Intellectual property

NailEOD, including its software, design, and branding, is owned by us and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. We keep all rights not expressly granted. You keep all rights to Your Data.

12 Disclaimers & limitation of liability

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that figures will be accurate if data is entered incorrectly.

To the fullest extent permitted by law, NailEOD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

13 Indemnification

You agree to indemnify and hold NailEOD harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Data, your use of the Service, or your breach of these Terms — including any claim by your staff or a third party relating to data you provided to the Service.

14 Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. Where practical, we'll give notice and a chance to fix the issue first. On termination, the sections meant to survive — including data ownership, disclaimers, liability limits, and indemnification — remain in effect.

15 Governing law

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-laws rules. The courts located in British Columbia will have jurisdiction over any dispute, except where mandatory local law gives you the right to bring a claim elsewhere.

16 Changes to these terms

We may update these Terms as the Service evolves. When we do, we'll revise the “Last updated” date above, and for material changes we'll make a reasonable effort to notify salon owners. Continuing to use NailEOD after an update means you accept the revised Terms.
